EVENTS CONSTITUTING MATERIAL BREACH OF AGREEMENT The Applicant shall be in Material Breach of this Agreement if it commits one or more of the following acts or omissions (each a “Material Breach”):
Covenant of Quiet Enjoyment Landlord covenants that Tenant, on paying the Rent, charges for services and other payments herein reserved and on keeping, observing and performing all the other terms, covenants, conditions, provisions and agreements herein contained on the part of Tenant to be kept, observed and performed, shall, during the Lease Term, peaceably and quietly have, hold and enjoy the Premises subject to the terms, covenants, conditions, provisions and agreements hereof without interference by any persons lawfully claiming by or through Landlord. The foregoing covenant is in lieu of any other covenant express or implied.
Representations Warranties and Covenants The Grantors jointly and severally represent, warrant and covenant to and with the Collateral Agent, for the benefit of the Secured Parties, that:
Breach of Covenant of Time As time is of the essence in the completion of the Work, the Contractor is in breach of the covenant of time and is subject to default.
Grant of Licenses As of the Effective Date, Licensor hereby grants Licensee, and Licensee hereby accepts, a worldwide, exclusive, royalty-free, fully-paid right and license (including a right to sublicense in accordance with Section 9.7 below) to use, display and reproduce the Licensed Marks in connection with the provision and marketing of goods and services in connection with the Relevant IANA Services. For the avoidance of doubt, this license includes the right of Licensee to use the Licensed Marks to describe its performance of the Relevant IANA Services on its web site, publications and elsewhere, but this license does not authorize the use of the Licensed Marks in connection with any other services.
Seller’s Representations, Warranties and Covenants Seller hereby represents, warrants and covenants to Buyer as follows:
Covenants Representations and Warranties The General Partner covenants, represents and warrants that the following are presently true, will be true at the time of each Capital Contribution payment made by the Limited Partner and will be true during the term of this Agreement, to the extent then applicable.
Remedies for Noncompliance In the event Contractor fails to fulfill its obligations under this Section 21, the Authority shall have available to it appropriate remedies at law or in equity, including the right to withhold amounts due to Contractor for any work until Contractor submits a corrective action plan which has been approved by the Authority or demonstrates to the Authority’s satisfaction that all good faith efforts to comply with the goals set forth herein have been exhausted, together with the ability to disqualify Contractor from future work that may, from time to time, be undertaken by the Authority as well as all unfinished work under this Contract.
