Employee Character and Fitness. CONTRACTOR accepts responsibility for determining and approving the character and fitness of its employees (including volunteers, agents or representatives) to provide the services required of CONTRACTOR under this Agreement, including completion of a satisfactory criminal/background check and period rechecks to the extent permitted by law. Notwithstanding anything to the contrary in this Paragraph, CONTRACTOR shall hold COUNTY and its officers, agents and employees harmless from any liability for injuries or damages resulting from a breach of this provision or CONTRACTOR's actions in this regard.

Volunteer accepts responsibility for determining and approving the character and fitness of any of its paid employees, contractors and subcontractors who Volunteer arranges to provide services as part of the Volunteer Project. To the extent permitted by law, such responsibility may include completion of a satisfactory criminal/background check and period rechecks.

Association accepts sole and exclusive responsibility for determining and approving the character and fitness of its employees (including volunteers, agents or representatives) to provide the services required of Association under this Agreement, including completion of a satisfactory criminal/background check and periodic rechecks to the extent permitted by law. Notwithstanding anything to the contrary in this Paragraph, Association shall hold County and its officers, agents and employees harmless from any liability for injuries or damages resulting from a breach of this provision or Association’s actions in this regard.
Employee Character and Fitness. RCD accepts responsibility for determining and approving the character and fitness of its employees (including volunteers, agents or representatives) to provide the services required of RCD under this MOU, including completion of a satisfactory criminal/background check and periodic rechecks to the extent permitted by law. Notwithstanding anything to the contrary in this Paragraph, RCD shall defend, indemnify, and hold COUNTY and its elected officials, officers, agents and employees harmless from any liability for injuries or damages resulting from a breach of this provision or RCD's actions in this regard.
Employee Character and Fitness. Potential Bidders reviewing plans must complete a Visitor Security Clearance Form and pass security clearance as required for the “NAPA COUNTY HOJ & ANNEX FINAL EARTHQUAKE REPAIRS,” PW 15-15C. Notwithstanding anything to the contrary in this Paragraph, Potential Bidder shall hold County and its officers, agents and employees harmless from any liability for injuries or damages resulting from a breach of this provision or Potential Bidder’s actions in this regard.
