Covenants and Representations of the Company. The Company covenants and agrees as follows: (a) this Warrant Certificate is a valid and binding obligation of the Company, enforceable against the Company in accordance with its terms; (b) all Common Shares which may be issued upon the exercise of the rights represented by the Warrants will, upon issuance, be validly issued, fully paid and non-assessable, free from all taxes, liens and charges with respect to the issue thereof, except with respect to any applicable withholding taxes; and (c) during the period within which the rights represented by this Warrant Certificate may be exercised, the Company will at all times have authorized and reserved a sufficient number of its Common Shares to provide for the exercise of the rights represented by this Warrant Certificate.
