Currency Control. In the event that any currency control ----------------- laws come into effect in the Territory which prevent the payment to R2 of any sums due under this Agreement to be made in United States Dollars, GEMS will notify R2 as promptly as practicable, and will cooperate with R2 in any procedure reasonably requested by R2 to give effect to the parties' intent under this Agreement without incurring unreasonable costs.
Currency Control. Distributor represents and warrants that, on the ---------------- Effective Date of this Agreement, no currency control laws applicable in the Territory prevent the payment to VidaMed of any sums due under this Agreement.
Currency Control. Licensee shall obtain the necessary Approvals and registrations (including any reporting requirements to the central bank or monetary authority as the case may be) as required by the appropriate authorities to ensure that all currency control requirements have been met in order to facilitate the smooth and timely payments of the sums (in United States Dollars) due to RGI under this Agreement.
Currency Control. Visionex represents and warrants that, on the Effective Date of this Agreement, no currency control laws applicable in the Territory prevent the payment to ACS of any sums due under this Agreement.
Currency Control. You represent and warrant that no currency control Laws prevent the payment to Caterpillar of any sums due under this Agreement. In the event that any such Laws come into effect such that payment in United States Dollars is not permitted, you will notify Caterpillar immediately, and if so instructed by Caterpillar, deposit all monies due to Caterpillar to the account of Caterpillar or its Affiliate in a local bank of Caterpillar’s choice.
Currency Control. Distributor represents and warrants that as of the Effective Date, no applicable currency control laws prevent the payment to ZAP of any amounts due to ZAP under this Agreement. Distributor agrees to promptly notify ZAP of any currency control laws that may affect Distributor’s ability to make payment of any of the amounts due to ZAP under this Agreement.

In the event that any currency control laws come into effect in any jurisdiction which prevent the payment to the Company of any sums due under this Agreement from being made in United States Dollars, the Distributor will notify the Company as promptly as practicable, and will cooperate with the Company in any procedure reasonably requested by the Company to give effect to the Parties' intent under this Agreement without incurring unreasonable costs.
Currency Control. Nidek represents and warrants that no currency ---------------- control laws prevent the payment to EyeSys of any sums due under this Agreement.
Currency Control. The Client represents and warrants that no currency control Laws prevent the payment to Fuel50 of any amounts due under this Agreement. In the event that any such Laws come into effect such that payment in U.S. dollars is not permitted, the Client will notify Fuel50 immediately, and if so instructed by Fuel50, deposit all monies due to Fuel50 to the account of Fuel50 in a local bank of Fuel50’s choice.
Currency Control. Company represents and warrants that no currency control laws applicable in the Territory prevent the payment to Wherify of any sums due under this Agreement in United States dollars. In the event that any such laws come into effect and the local government of the Territory does not permit that payment be made in United States Dollars, Company will notify Wherify immediately, and if so instructed by Wherify, deposit all monies due Wherify to the account of Wherify in a local bank of Wherify's choice in the Territory. Wherify has the right to suspend performance, and terminate this Agreement, in the event any currency control law prevents payment to Wherify in a manner that is acceptable to Wherify.
