Provider represents and warrants that it (i) has and will maintain at least the minimum qualifications required by Section 17(f)(1) of the 1940 Act to act as custodian of the Securities of each BFA Recipient, and (ii) is otherwise qualified and eligible to act as custodian under the terms of this Agreement.
