Common use of Customer Compliance Clause in Contracts

Customer Compliance. Customer represents and warrants that (i) it has complied, and will continue to comply, with all applicable laws, including Data Protection Laws, in respect of its processing of Personal Data and any processing instructions it issues to Chargifi; and (ii) it has provided, and will continue to provide, all notice and has obtained, and will continue to obtain, all consents and rights necessary under Data Protection Laws for Chargifi to process Personal Data for the purposes described in the Agreement. Customer shall have sole responsibility for the accuracy, quality, and legality of Personal Data and the means by which Customer acquired Personal Data. Without prejudice to the generality of the foregoing, Customer agrees that it shall be responsible for complying with all laws (including Data Protection Laws) applicable to the collection of employee personal data or other content created, sent or managed through the Services, including those relating to obtaining consents (where required) to send emails, the content of the emails and its email deployment practices.

Customer shall have sole responsibility for the accuracy, quality, and legality of Personal Customer Data and the means by which Customer acquired Personal Customer Data. Without prejudice to the generality of the foregoing, Customer agrees that it shall be responsible for complying with all laws (including Data Protection Laws) applicable to the collection of employee personal data any emails or other content created, sent or managed through the ServicesService, including those relating to obtaining consents (where required) to send emails, the content of the emails and its email deployment practices.

Without prejudice to the generality of the foregoing, Customer agrees that it shall be responsible for complying with all laws (including Data Protection Laws) applicable to the collection of employee personal data or other any content created, sent sent, or managed through the ServicesService, including those relating to obtaining consents (where required) to send emailsemails or other messaging, the content of the emails or other messaging and its email or other messaging deployment practices.
