Common use of Customer Indemnification Obligations Clause in Contracts

Customer Indemnification Obligations. Customer will indemnify Google and its Affiliates against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising from (a) any Customer Indemnified Materials; or (b) Customer’s or an End User’s use of the Services in breach of the AUP or the Use Restrictions.

Customer Indemnification Obligations. Customer will indemnify Google defend Google, its Personnel, and its Affiliates Affiliates, and indemnify them against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising from (a) any Customer Indemnified Materials; or (b) Customer’s or an End User’s use of the Services in breach of the AUP or the Use Restrictions.

Customer will indemnify defend Google and its Affiliates providing the Services and indemnify them against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising from (a) any Customer Indemnified MaterialsApplication, Project, Customer Data, or Customer Brand Features; or (b) Customer’s 's or an End User’s 's use of the Services in breach of the AUP or the Use Section 4.3 (Restrictions).

Unless prohibited by applicable law, Customer will defend and indemnify Google and its Affiliates Afiliates against Indemnified Liabilities in any Third-Third- Party Legal Proceeding to the extent arising from (ai) any Customer Indemnified Materialsapplication, Customer organization or environment in the Cloud Services, Customer Data, or Customer Brand Features; or (bii) Customer’s ’s, or an End User’s its Users’, use of the Cloud Services in breach violation of the AUP or the Use RestrictionsAUP.

Subject to Section 12.4 (Conditions), Customer will indemnify defend Google and its Affiliates (“Google Indemnified Parties”), and indemnify them against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising from from: (a) any Customer Indemnified MaterialsData, Customer Brand Features, and Application, Project and Instance (if applicable); or (b) Customer’s or an End User’s use of the Services in breach violation of the AUP or the Acceptable Use RestrictionsPolicy.
