Neither the Company nor any Subsidiary has, since December 31, 1996, lost, or been notified that it will lose or suffer material diminution in, and to the knowledge of the Company no representative of any customer has notified the Company or any Subsidiary that in the event of a change of ownership of the Company such as contem- plated by this Agreement the Company or any Subsidiary would, lose or suffer material diminution in, its relationship with any customer or customers that are, individually or in the aggregate, material to the Company or any Business Segment.
