Common use of Customer Responsibilities Clause in Contracts

Customer Responsibilities. Customer is responsible for Users' compliance with this Agreement and will (i) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, and notify PROS immediately of any such unauthorized access or use; and

Customer Responsibilities. Customer is will (a) be responsible for Authorized Users' ’ compliance with this Agreement Agreement, (b) be responsible for the accuracy, quality and will legality of Customer Data and the means by which Customer acquired the Customer Data, (ic) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, and notify PROS immediately Provider promptly of any such unauthorized access or use; and, (d) use the Service only in accordance with the Documentation and applicable laws and government regulations, and (e) obtain and maintain all equipment and components necessary for Customer’s use of the Service.

Customer is will (a) remain fully responsible for its Authorized Users' ’ compliance with this Agreement and will Agreement; (ib) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, Product; and (c) notify PROS Uniphore immediately of any such unauthorized access or use; anduse of the Product.

Customer Responsibilities. Customer is responsible for Users' Employees compliance with this Agreement and will (i) use Agreement. Customer is responsible for the Customer data. Customer uses commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, Services and notify PROS immediately Company of any such unauthorized access or use; and.

Customer Responsibilities. Customer is responsible for Users' compliance with this Agreement and will will: (i) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, and notify PROS immediately of any such unauthorized access or use; and(ii) cooperate with any reasonable investigation by PROS of any outage, security problem or suspected breach of the Agreement; and (iii) comply with all PROS instructions relating to Customer’s access to or use of the Subscription Service, including, but not limited to, instructions specifying specific windows of time for certain types of Customer Data uploading.
