Common use of DAC6 Clause in Contracts

DAC6. The Borrower, if applicable, shall supply to the Agent (in sufficient copies for all the Lenders, if the Agent so requests): (a) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Finance Documents or any transaction carried out (or to be carried out) in connection with any transaction contemplated by the Finance Documents contains a hallmark as set out in Annex IV of DAC6; and (b) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made to any governmental or taxation authority by or on behalf of any member of the Group or by any adviser to such member of the Group in relation to DAC6 or any law or regulation which implements DAC6 and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).

DAC6. The Borrower, if applicable, Parent shall supply to the Agent (in sufficient copies for all of the Lenders, if the Agent so requests): ): (ax) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Finance Loan Documents or any transaction carried out (or to be carried out) in connection with any transaction contemplated by the Finance Loan Documents contains a hallmark as set out in Annex IV of DAC6; and and (by) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made to any governmental or taxation authority by or on behalf of any member of the Group Subsidiary or by any adviser to any such member of the Group Subsidiary in relation to DAC6 or any law or regulation which implements DAC6 and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).

DAC6. The Borrower, if applicable, Borrowers shall supply to the Administrative Agent (in sufficient copies for all of the Lenders, if the Administrative Agent so requests): (ai) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Finance Loan Documents or any transaction carried out (or to be carried out) in connection with any transaction contemplated by the Finance Loan Documents contains a hallmark as set out in Annex IV of DAC6; and (bii) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made to any governmental or taxation authority by or on behalf of any member of the Group Subsidiary or by any adviser to any such member of the Group Subsidiary in relation to DAC6 or any law or regulation which implements DAC6 and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).

DAC6. The Borrower, if applicable, Obligors’ Agent shall supply to the Facility Agent (in sufficient copies for all the Lenders, if the Facility Agent so requests): (a) 21.10.1 promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Finance Documents or any transaction carried out (or to be carried out) in connection with any transaction contemplated by the Finance Documents contains a hallmark as set out in Annex IV of DAC6; and (b) 21.10.2 promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made to any governmental or taxation authority by or on behalf of any member of the Group or by any adviser to such member of the Group in relation to DAC6 or any law or regulation which implements DAC6 and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).

DAC6. The Borrower, if applicable, Company shall supply to the Administrative Agent (in sufficient copies for all the Lenders, Lenders if the Administrative Agent so requests): ): (ai) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Finance Loan Documents or any transaction carried out (or to be carried out) in connection with any transaction contemplated by the Finance Loan Documents contains a hallmark as set out in Annex IV of DAC6; and DAC6 and (bii) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made to by any governmental or taxation authority by or on behalf of the Company or any member of the Group its Subsidiaries or by any adviser to such member of the Group Person in relation to DAC6 or any law or regulation which implements DAC6 and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).
