Common use of DAC6 Clause in Contracts

DAC6. Following the reasonable request of the Administrative Agent (acting at the direction of the Required Lenders), the Company shall supply to the Administrative Agent (in sufficient copies for all the Lenders if the Administrative Agent so requests): (i) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Loan Documents or any transaction carried out (or to be carried out) in connection with any transaction contemplated by the Loan Documents contains a hallmark as set out in Annex IV of DAC6 and (ii) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made by any governmental or taxation authority by or on behalf of the Company or any of its Subsidiaries or by any adviser to such Person in relation to DAC6 or any law or regulation which implements DAC6 and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).

DAC6. Following the reasonable request of the Administrative Agent (acting at the direction of the Required Lenders), the Company Each Obligor shall supply to the Administrative Facility Agent (in sufficient copies for all the Lenders if the Administrative Facility Agent so requests): ): (ia) promptly upon the making of such analysis or the obtaining of such advice, any analysis made or advice obtained on whether any transaction contemplated by the Loan Finance Documents or any transaction carried out (or to be carried out) in connection with any transaction contemplated by the Loan Documents therewith contains a hallmark as set out in Annex IV of DAC6 and or could or does give rise to any mandatory disclosure requirement in the United Kingdom; and (iib) promptly upon the making of such reporting and to the extent permitted by applicable law and regulation, any reporting made by to any governmental or taxation authority by or on behalf of the Company or any of its Subsidiaries Obligor or by any adviser intermediary to such Person Obligor in relation to DAC6 or any law or regulation which implements DAC6 (including any mandatory disclosure regime in the United Kingdom) and any unique identification number issued by any governmental or taxation authority to which any such report has been made (if available).
