Common use of Damages Waiver Clause in Contracts

Damages Waiver. In no event shall the Covered Person be liable to any party to this Agreement or any of such party’s Affiliates for special, punitive, exemplary or incidental damages, consequential or indirect damages, or lost profits, diminution in value, losses calculated by reference to any multiple of earnings (or any other valuation methodology), damage to reputation or loss to goodwill, whether based on contract, tort, strict liability, other law or otherwise.
