DATA CONTROLLER OBLIGATION. The Data Controller shall be solely responsible for complying with the statutory requirements relating to data protection and privacy, in particular regarding the disclosure and transfer of Personal Data to the Processor and the Processing of Personal Data. The Data Controller: ● represents and warrants to comply with the terms of this Addendum, and all applicable data protection laws. ● represents and warrants that any and all necessary permissions and authorizations have been obtained, necessary to permit SurveySparrow Inc., its affiliates and Sub-Processors, to execute their rights or perform their obligations in connection with processing of Personal Data under this Addendum. ● Agrees to be responsible for compliance with all applicable data protection legislation, including requirements with regards to the transfer of Personal Data under this Addendum. ● Shall have the sole responsibility for the accuracy, quality, and legality of Personal Data collected and the means by which Controller acquired such Personal Data of its customer. ● ensures that its Instructions to the Data Processor regarding the Processing of Personal Data comply with applicable laws, including Data Protection Laws; ● Represents and warrants that it has the right to transfer, or provide access to, the Personal Data to the Data Processor for Processing in accordance with the terms of this Addendum and Terms of Service. ● Agrees to ensure that all affiliates of the Data Controller who use the Services shall comply with the obligations set out in this Addendum.

DATA CONTROLLER OBLIGATION. The Data Controller determines the purposes and means of Personal Data processing. The Data Controller is personally responsible for requests for an opinion and/or authorization requests to be submitted to the relevant authorities, as well as any other processes such as impact analysis. The Data Controller guarantees that the processing is compliant with the laws and that the Personal Data is collected and processed in accordance with the GDPR. In particular, the Data Controller guarantees that it provides the required information to the data subjects by the processing at the time of collection or within the required time limits when the Personal Data has not been collected from the data subject in accordance with Articles 12 to 14 of the GDPR. The Data Controller guarantees the Data Processor against the consequences of its own failure to comply with its obligations under the GDPR. The Data Controller will provide the Data Processor with all the instructions and information necessary to enable the Data Processor to perform the Services in compliance with the GDPR, in particular in the article "Description of the processing subject to subcontracting" set out in the Particular Conditions.

  • USER OBLIGATIONS As a user of the Website or Services, You may be asked to register with Us.   • Supplier Obligations At all times during the Term, the Supplier is required to:

  • CONTRACTOR OBLIGATION Contractor shall identify and mark the precise portion(s) of the relevant page(s) of any records provided to Enterprise Services that Contractor believes are statutorily exempt from disclosure and identify the precise statutory basis for exemption from disclosure. In addition, if, in Contractor’s judgment, certain portions of such records are not statutorily exempt from disclosure but are sensitive because particular portions of Contractor’s records (NOT including pricing) include highly confidential, proprietary, or trade secret information (or the equivalent) that Contractor protects through the regular use of confidentiality or similar agreements and routine enforcements through court enforcement actions, Contractor shall identify and mark the precise portion(s) of the relevant page(s) of any records that include such sensitive information.

  • Developer Obligations In accordance with applicable NYISO requirements, Developer shall maintain satisfactory operating communications with Connecting Transmission Owner and NYISO. Developer shall provide standard voice line, dedicated voice line and facsimile communications at its Large Generating Facility control room or central dispatch facility through use of either the public telephone system, or a voice communications system that does not rely on the public telephone system. Developer shall also provide the dedicated data circuit(s) necessary to provide Developer data to Connecting Transmission Owner and NYISO as set forth in Appendix D hereto. The data circuit(s) shall extend from the Large Generating Facility to the location(s) specified by Connecting Transmission Owner and NYISO. Any required maintenance of such communications equipment shall be performed by Developer. Operational communications shall be activated and maintained under, but not be limited to, the following events: system paralleling or separation, scheduled and unscheduled shutdowns, equipment clearances, and hourly and daily load data.

  • Seller Obligations Seller shall (A) arrange and pay independently for any and all necessary costs under any Generator Interconnection Agreement with the Participating Transmission Owner; (B) cause the Interconnection Customer’s Interconnection Facilities, including metering facilities, to be maintained; and (C) comply with the procedures set forth in the GIP and applicable agreements or procedures provided under the GIP in order to obtain the applicable Electric System Upgrades and (D) obtain Electric System Upgrades, as needed, in order to ensure the safe and reliable delivery of Energy from the Project up to and including quantities that can be produced utilizing all of the Contract Capacity of the Project.

  • Contractor Obligations The Contractor is responsible for fully meeting all Contract obligations set forth in the OGS Centralized Contract and for providing services in accordance with the Contract and any Authorized User Agreement, Statement of Work or Purchase Order.

  • Employer Obligation The Supplier shall comply with the requirements of the Pensions Act 2008 and the Transfer of Employment (Pension Protection) Regulations 2005.

  • Provider Obligations Provider at all times during the term of this Agreement shall:

  • TRANSNET’S OBLIGATIONS 8.1 Transnet undertakes to promptly comply with any reasonable request by the Supplier/Service Provider for information, including information concerning Transnet's operations and activities, that relates to the Goods/Services as may be necessary for the Supplier/Service Provider to provide the Goods/Services, but for no other purpose. However, Transnet's compliance with any request for information is subject to any internal security rules and requirements and subject to the observance by the Supplier/Service Provider of its confidentiality obligations under this Agreement.

  • COUNCIL’S OBLIGATIONS Save as otherwise expressly provided, the obligations of the Council under the Contract are obligations of the Council in its capacity as a contracting counterparty and nothing in the Contract shall operate as an obligation upon, or in any other way xxxxxx or constrain the Council in any other capacity, nor shall the exercise by the Council of its duties and powers in any other capacity lead to any liability under the Contract (howsoever arising) on the part of the Council to the Provider.
