Date of Execution of Agreement. This Settlement Agreement may be executed in counterparts, and, if so executed, shall be in full effect as of the data of the last signature. A faxed signature shall be effective as an original provided that the original signature be immediately provided to the other party. All necessary documentation shall be fully executed by both parties no later than July 1, 1999.

  • Termination of Agreement If this Agreement is terminated by the Representatives in accordance with the provisions of Section 5 or Section 9(a)(i) hereof, the Company shall reimburse the Underwriters for all of their out-of-pocket expenses, including the reasonable fees and disbursements of counsel for the Underwriters.
