Decisions without a meeting. Except as otherwise provided by the Articles of Incorporation or the By-laws, any necessary action can be taken in case all of the Board members or members of the Board committee sign an agreement, in writing, and such consent in writing, is filed with the minutes of the Board or committee procedure. Any consent may be equivalent and will be in effect on the date of the last signature on it, unless otherwise established.
