Common use of Deduction of Fees Clause in Contracts

Deduction of Fees. If the Escrow Agent resigns or is removed pursuant to this Section 11, the Escrow Agent shall be entitled, prior to delivery to any party of the Escrow Amount, to deduct from the Escrow Amount any amounts owing to it in respect to outstanding fees, disbursements and interest thereon whereupon this Agreement shall terminate and the Escrow Agent shall have no further duties and obligations under this Agreement.
