Common use of Deemed Delivery Clause in Contracts

Deemed Delivery. Information required to be delivered pursuant to clauses (a) and (b) of this Section shall be deemed to have been delivered on the date on which the Borrower posts such information on the Borrower’s website on the Internet at xxxx://xxxxxxxx.xxxxxxxxxxx.xxx/, at xxx.xxx.xxx/xxxxx/searchedgar/ webusers.htm or at another website identified in a written notice to the Administrative Agent and the Lenders and accessible by the Administrative Agent and the Lenders without charge; provided, however, that the Borrower shall deliver electronic or paper copies of the information required to be delivered pursuant to clauses (a) and (b) to the Administrative Agent promptly thereafter.

Information required to be delivered pursuant to clauses (a) and (b) of this Section or Section 6.5 (SEC Filings) shall be deemed to have been delivered on the date on which the Borrower Company posts such information on the BorrowerCompany’s website on the Internet at xxxx://xxxxxxxx.xxxxxxxxxxx.xxx/xxxx://xxx.xxxxxxxxxxx.xxx/, at xxx.xxx.xxx/xxxxx/searchedgar/ webusers.htm xxx.xxx.xxx/ or at another website identified in a written notice to the Administrative Agent and the Lenders LC Participants and accessible by the Administrative Agent and the Lenders LC Participants without charge; provided, however, that the Borrower Company shall deliver electronic or paper copies of the information required to be delivered pursuant to clauses (a) and (b) to the Administrative Agent promptly thereafter.
