Common use of Deemed Resignations Clause in Contracts

Deemed Resignations. Unless otherwise agreed to in writing by the Company and Executive prior to the termination of Executive’s employment, any termination of Executive’s employment shall constitute (a) an automatic resignation of Executive as an officer of the Company, Holdings GP, and each other Affiliate of the Company, as applicable, (b) an automatic resignation of Executive from the board of directors (or similar governing body) of the Company or any Affiliate of the Company (if applicable), and (c) an automatic resignation from the board of directors or any similar governing body of any corporation, limited liability entity, or other entity in which the Company or any Affiliate holds an equity interest and with respect to which board or similar governing body Executive serves as the Company’s or such Affiliate’s designee or other representative (if applicable).

Deemed Resignations. Unless otherwise agreed to in writing by the Company and Executive prior to the termination of Executive’s employmentEmployment, any termination of Executive’s employment Employment shall constitute constitute: (a) an automatic resignation of Executive as an officer of the Company, Holdings GP, Company and each other Affiliate and subsidiary of the Company, as applicable, and (b) an automatic resignation of Executive from the Board (if applicable), from the board of directors (or similar governing body) of the Company or any Affiliate and subsidiary of the Company (if applicable), and (c) an automatic resignation from the board of directors or any similar governing body of any corporation, limited liability entity, entity or other entity (i) in which the Company or any Affiliate or subsidiary holds an equity interest and (ii) with respect to which board or similar governing body the Executive serves as the Company’s or such Affiliate’s or subsidiary’s designee or other representative (if applicable).

Deemed Resignations. Unless otherwise agreed to in writing by the Company and the Executive prior to the termination of the Executive’s employment, any termination of the Executive’s employment shall shall, without changing the basis for termination of employment or the impact of such termination on the Executive’s rights, if any, under this Agreement, constitute (ai) an automatic resignation of the Executive from any position held as an officer of the Company, Holdings GPCompany and each affiliate of the Company (including each member of the Company Group), and each other Affiliate of the Company, as applicable, (bii) an automatic resignation of the Executive from the board of directors (or similar governing body) of the Company or any Affiliate of the Company Board (if applicable), and (c) an automatic resignation from the board of directors or similar governing body of any affiliate of the Company (including each member of the Company Group) and from the board of directors or similar governing body of any corporation, limited liability entity, entity or other entity in which the Company or any Affiliate affiliate of the Company (including each member of the Company Group) holds an equity interest and with respect to which board or similar governing body the Executive serves as the Company’s or such Affiliateaffiliate’s designee or other representative (if applicable)representative.
