Common use of Deemed Resignations Clause in Contracts

Deemed Resignations. Unless otherwise agreed to in writing by the Company and Employee prior to the termination of Employee’s employment, any termination of Employee’s employment shall constitute: (i) an automatic resignation of Employee as an officer of the Company and each member of the Company Group, as applicable, and (ii) an automatic resignation of Employee from the Board (if applicable), from the board of directors or managers of any member of the Company Group (if applicable) and from the board of directors or managers or any similar governing body of any corporation, limited liability entity or other entity in which the Company or any Affiliate holds an equity interest and with respect to which board or similar governing body Employee serves as the Company’s or such Affiliate’s designee or other representative (if applicable).

Deemed Resignations. Unless otherwise agreed to in writing by the Company and Employee prior to the termination of Employee’s employment, any termination of Employee’s employment shall constitute: (i) an automatic resignation of Employee as an officer of the Company and each member affiliate and subsidiary of the Company GroupCompany, as applicable, and (ii) an automatic resignation of Employee from the Board (if applicable), from the board of directors or managers of any member affiliate and subsidiary of the Company Group (if applicable) ), and from the board of directors or managers or any similar governing body of any corporation, limited liability entity or other entity in which the Company or any Affiliate affiliate or subsidiary holds an equity interest and with respect to which board or similar governing body Employee serves as the Company’s or such Affiliateaffiliate’s or subsidiary’s designee or other representative (if applicable).

Unless otherwise agreed to in writing by the Company and Employee prior to the Any termination of Employee’s employment, any termination of EmployeeExecutive’s employment (regardless of which Party initiated the termination, or whether it occurred due to an expiration of the term of employment) shall constitute: (i) constitute an automatic resignation of Employee Executive as an officer of the Company and each member affiliate of Company, if any, an automatic resignation as trustee of the Company GroupCompany’s Employee Stock Ownership Plan and 401(k) plan, as applicable, and (ii) an automatic resignation of Employee Executive from the Board (if applicable), from the board of directors or managers of any member of the Company Group (if applicable) and from the board of directors or managers similar governing body of any affiliate of Company, if any, and from the board of directors or any similar governing body of any corporation, limited liability entity company or other entity in which the Company or any Affiliate affiliate, if any, holds an equity interest and with respect to which board or similar governing body Employee Executive serves as the Company’s or such Affiliateaffiliate’s designee or other representative (if applicable)representative.
