DEFINITIONS Whenever used in this Agreement with an initial capital letter the terms defined in this Article 1 shall have the meanings specified. 1.1 “Adverse Event” means any serious untoward medical occurrence in a patient or subject who is administered a Lead Candidate or Product, but only if and to the extent that such serious untoward medical occurrence is required under Applicable Law, rules or regulations to be reported to the FDA or any other Regulatory Authority. 1.2 “Affiliate” means any corporation, firm, partnership or other entity, which directly or indirectly controls or is controlled by or is under common control with a Party to this Agreement. For purposes of this definition, “control” means ownership, directly or through one or more Affiliates, of (a) fifty percent (50%) or more of the shares of stock entitled to vote for the election of directors, in the case of a corporation, or (b) fifty percent (50%) or more of the equity interests in the case of any other type of legal entity or status as a general partner in any partnership, or (c) any other arrangement whereby a Party controls or has the right to control the Board of Directors or equivalent governing body of a corporation or other entity.

The obligations of this Agreement shall be binding upon the assets and property of the Trust and shall not be binding upon any Trustee, officer, or shareholder of the Trust individually.
