Deliveries to be Made at Closing. On the Closing Date, the -------------------------------- Company shall deliver to Buyer such leases, warranty bills of sale, assignments and other instruments reasonably satisfactory to Buyer and its counsel as are necessary or desirable to transfer the Purchased Assets, such assumption agreements satisfactory to the Company and its counsel as are necessary or desirable to assume the Assumed Liabilities, and the parties shall deliver the other items contemplated by Sections 6 and 7. All deliveries shall be considered to have taken place simultaneously as a single transaction, and no delivery shall be considered to have been made until all deliveries are completed. With respect to any Purchased Assets sold hereunder which cannot be physically delivered at the Closing because they are in the possession of third parties, the Company shall give irrevocable instructions to such third parties that all rights, title and interests in such Purchased Assets have been vested in Buyer.
