Deliver to Buyer. (i) a conformed copy (showing all recording information thereon) of the Recordable Documents, (ii) the original Xxxx of Sale, (iii) fully executed originals of the General Assignment, EFI Lease, and Child Care Center Agreement, (iv) the Non-Foreign Certification, (v) the Withholding Affidavit, (vi) the Natural Hazard Disclosure Statement, (vii) the Seller Estoppels, if any, (viii) the Tenant Notices; and

Deliver to Buyer. Originals of the Assignment and Assumption of Leases, the Assignment of Intangible Property, the Bill of Sale, the Xxxxsferor's Certificate, all documents and items required to be delivered by Seller pursuant to Sections 4.1 and 8.1.4 or any other provision of this Agreement, not otherwise previously delivered directly to Buyer, all other items deposited by Seller with Escrow Holder pertaining to the Property, and any funds deposited by Buyer in excess of the amount to be paid by Buyer under the terms of this Agreement.
Deliver to Buyer any funds deposited by Buyer, and any interest earned thereon, in excess of the amount required to be paid by Buyer hereunder.

Deliver to Buyer. (A) the original Title Policy; (B) a fully executed original of the Assignment and Assumption Agreement; (C) an original of the Xxxx of Sale; (D) a copy of the Completion Guaranty; (E) a copy of the City Assurance; (F) a conformed copy of the recorded Deed; (G) a conformed copy of the recorded Partial Assignment of Development Agreement; (H) a conformed copy of the recorded Partial Assignment of CEA; and (I) a fully executed original of the Partial Assignment of MOU.
Deliver to Buyer. (1) the Grant Deed by causing it to be recorded in the Official Records of the County of Orange, State of California, and immediately upon recording delivering to Buyer a conformed copy of the Grant Deed; (2) the original General Assignment and an original Interim Occupancy Agreement, each executed by Seller; (3) copies of the Certificate of Non-Foreign Status and the California State Form 593-C; and (4) any funds deposited by Buyer, and any interest earned thereon, in excess of the amount required to be paid by Buyer hereunder. As soon as practical following the Closing, but, in any event, not later than ten (10) days after the Closing, Escrow Holder shall cause the Title Company to deliver the original Title Policy to Buyer.
