Delivery of Allocation Certificate to MC. When MFX is required to allocate DFC Activated Amount to a MC, MFX allocates DFC Activated Amounts by providing an Allocation Certificate to the Credit Providers, the Cash-Guaranty MCs and the Cash-Only MCs as described below. First, MFX delivers an Allocation Certificate to the Credit Providers for their countersignature (the signature of the Credit Provider shall be deemed to solely comprise an acknowledgement by such Credit Provider of receipt of such certificate and a confirmation of the Activated Amount of such Credit Provider as provided therein, and shall not be construed as an approval of any allocation proposed by MFX). Second, MFX shall then deliver to the applicable Guaranty-Only MCs and Cash/Guaranty MCs a copy of the Allocation Certificate as acknowledged by both Credit Providers. For the avoidance of doubt, such allocation may or may not be consistent with the ultimate liability of a Credit Provider pursuant to the Liability Allocation Methodology.

At any time during the life of this Agreement, CLEC will provide a copy of its current Certificate of Operating Authority or other evidence of its status to CenturyLink upon request. CLEC’s failure to maintain such authorization(s) as may be required by Applicable Law for conducting business in the State as a CLEC shall be considered a Default of Agreement.
