Delivery of Commercial Copies. The Corporation will deliver without charge to the Underwriter, as soon as practicable, and in any event no later than noon (PST) on the Business Day immediately following the date of issuance of the receipt in the case of the Prospectus, and thereafter from time to time during the distribution of the Units, in such cities as the Underwriter shall notify the Corporation twenty-four hours before the delivery date, as many commercial copies of the Preliminary Prospectus, the Prospectus or any Supplementary Material as the Underwriter may reasonably request for the purposes contemplated by Canadian Securities Laws. Each delivery of the Preliminary Prospectus, the Prospectus or any Supplementary Material shall constitute consent by the Corporation to the use by the Underwriter and other investment dealers and brokers of such documents in connection with the distribution of the Units contemplated hereunder, subject to the provisions of applicable Law and the provisions of this Agreement.

Delivery of Commercial Copies. (1) The Company confirms that it has previously delivered to the Agents copies of the Preliminary Prospectus signed as required by the applicable Securities Laws in the Qualifying Provinces and such number of commercial copies of the Preliminary Prospectus as the Agents requested.
Delivery of Commercial Copies. The Company shall cause commercial copies (in both English and French) of each of the Preliminary Prospectus, the Final Prospectus and any amendment to the Final Prospectus, or any amendment or supplemental prospectus, or ancillary materials required to be filed with any of the Qualifying Authorities in connection with the distribution of the Flow-Through Shares (collectively, the “Supplementary Material”), to be delivered to the Underwriters without charge, in such numbers and in such locations as the Underwriters may reasonably request. Such delivery shall be effected as soon as possible and, in any event, on or before the date which is one Business Day for deliveries to be made in Toronto, Ontario and two Business Days for deliveries to be made outside of Toronto, Ontario after each of the Preliminary Receipt and Final Receipt has been obtained in each of the Qualifying Jurisdictions, and on or before a date which is two Business Days after the Qualifying Authorities issue receipts, in respect of or accept for filing, as the case may be, any Supplementary Material. The copies of the English and French versions of the Preliminary Prospectus, the Final Prospectus and any Supplementary Material furnished to the Underwriters and counsel for the Underwriters will be identical to the corresponding electronically transmitted copies thereof filed with the Qualifying Authorities.
Delivery of Commercial Copies. The Corporation will deliver to each Agent, without charge, as soon as practicable and in any event within 48 hours after the applicable Passport System Receipt is issued on behalf of the Qualifying Authorities, at the offices in the cities designated by the Agents, such number of commercial copies of each of the Canadian Final Prospectus or any Prospectus Amendment, as the case may be, in the English language, and the U.S. Final Offering Memorandum or any amendment to the U.S. Final Offering Memorandum as the Agents may reasonably request. In addition, the Corporation shall, as soon as possible following a request, deliver or cause to be delivered to the Agents such additional commercial copies of the Canadian Final Prospectus or any Prospectus Amendment, as the case may be, in the English language, and the U.S. Final Offering Memorandum or any amendment to the U.S. Final Offering Memorandum in such numbers and in such cities as the Agents may reasonably request from time to time during the Distribution. Such delivery shall constitute the representation and warranty of the Corporation to the Agents that as of the date of delivery and at all subsequent times up to the Closing Time on the Closing Date:

The Company will deliver to the Underwriter, without charge, during the period when the Prospectus is required to be delivered under Canadian Securities Laws, such number of commercial copies of the Prospectus (as may be supplemented or amended) in such locations as the Underwriter may reasonably request. Such deliveries shall be effected as soon as possible, and in any event, on or before a date which is one Business Day for local deliveries in Xxxxxxx, Xxxxxxx, following the date of filing of the Prospectus Supplement, or after the filing of any Supplementary Material in the Qualifying Provinces. Such delivery shall constitute the consent of the Company to the use by the Underwriter and the Selling Firms of the Prospectus and any amendments thereto in connection with the Distribution, subject to the provisions of this Agreement and the Canadian Securities Laws of the applicable Qualifying Provinces.

  • Commercial Copies The Corporation shall cause commercial copies of the Final Qualification Prospectus and any Supplementary Material to be delivered to the Agents without charge, in such numbers and in such cities in the Qualifying Jurisdictions as the Agents may reasonably request. Such delivery shall be effected as soon as practicable and, in any event, within two Business Days after the filing thereof in the Qualifying Jurisdictions.

  • Delivery of Copies The Company will deliver, without charge, (i) to the Representatives, two signed copies of the Registration Statement as originally filed and each amendment thereto, in each case including all exhibits and consents filed therewith and documents incorporated by reference therein; and (ii) to each Underwriter (A) a conformed copy of the Registration Statement as originally filed and each amendment thereto (without exhibits) and (B) during the Prospectus Delivery Period (as defined below), as many copies of the Prospectus (including all amendments and supplements thereto and documents incorporated by reference therein and each Issuer Free Writing Prospectus) as the Representatives may reasonably request.   • Form and Delivery of Communications All notices, requests, demands and other communications under this Agreement shall be in writing and shall be deemed to have been duly given if (a) delivered by hand, upon receipt by the party to whom said notice or other communication shall have been directed, (b) mailed by certified or registered mail with postage prepaid, on the third business day after the date on which it is so mailed, (c) mailed by reputable overnight courier, one day after deposit with such courier and with written verification of receipt or (d) sent by email or facsimile transmission, with receipt of oral or written confirmation that such transmission has been received.   • Delivery of Commission Filings Upon the Representatives’ written request, the Company will deliver to the Representatives, without charge, conformed copies of the Registration Statement as originally filed, and of each amendment thereto (including exhibits filed therewith or incorporated by reference therein) and conformed copies of all consents and certificates of experts, and, upon the Representatives’ request, will also deliver to the Representatives, without charge, a conformed copy of the Registration Statement as originally filed and of each amendment thereto (without exhibits) for each of the Underwriters.   • Delivery of Materials In the event of any expiration or termination of this Agreement, Contractor shall promptly provide the JBE with all originals and copies of the Deliverables, including any partially-completed Deliverables-related work product or materials, and any JBE-provided materials in its possession, custody, or control. In the event of any termination of this Agreement, the JBE shall not be liable to Contractor for compensation or damages incurred as a result of such termination; provided that if the JBE’s termination is not for cause, the JBE shall pay any fees due under this Agreement for Services performed or Deliverables completed and accepted as of the date of the JBE’s termination Notice.
