DELIVERY OF DOCUMENTS OF TRANSFER AND TITLE INSURANCE. Seller shall deliver all deeds (which in the case of the Real Estate shall mean a statutory warranty deed), assignments and other documents referenced in or contemplated by this Agreement which are necessary or appropriate to consummate the transactions contemplated hereby, including but not limited to such documents as are customarily presented in real estate transactions occurring in the state of Alabama. Additionally, at Closing, Seller shall provide Buyer with a title insurance commitment on ALTA Commitment - 1966 issued by Chicago Title Insurance Company (or such other nationally recognized title insurance company reasonably acceptable to Buyer) committing to insure Buyer's fee simple title to the Real Estate with Schedule B Standard Exceptions numbered 1,2,3,4 and 5 waived. The coverage on the Real Estate shall be in a face amount of One Million Five Hundred Thousand Dollars ($1,500,000). Subsequent to Closing, Seller shall cause the title insurance policy in conformity with the commitment to be promptly issued.

  • Delivery of Documents; Delivery Dates (a) The Trustee is hereby directed (i) to execute and deliver the Intercreditor Agreement, the Escrow Agreement and the NPA on or prior to the Issuance Date, each in the form delivered to the Trustee by the Company, and (ii) subject to the respective terms thereof, to perform its obligations thereunder.
