Delivery of Flow of Funds Memorandum. Not later than five (5) Business Days prior to the Closing Date, the Company shall prepare and deliver to the Purchaser a flow of funds memorandum containing the Company’s good faith estimate (including all calculations in reasonable detail) of: (a) the Estimated Net Working Capital in accordance with Section 1.4(a); (b) the amount that Indebtedness will be as of the Calculation Time (the “Estimated Company Indebtedness”); (c) the amount of unpaid Company Transaction Expenses as of the Calculation Time (“Estimated Company Transaction Expenses”); (d) the amount of the Closing Bonus Payments (including the amount of the Company’s portion of the payroll taxes, the “Estimated Closing Bonus Payments”); and (e) the amount of the Closing Purchase Price (such statement as may be adjusted pursuant to Section 1.3(b), the “Flow of Funds Memorandum”). These calculations will be used in connection with the payments described in Section 1.1 and Section 1.2. The Flow of Funds Memorandum also will contain wire instructions for all of the foregoing payments (or instructions to pay certain amounts by check).
