Delivery of further documents. Subject to the Borrower paying to the Agent all expenses incurred by the Security Agent in accordance with clause 12.6 (Transaction costs) of the Facility Agreement, the Security Agent shall promptly after execution and delivery of this Agreement delivery to the Shareholder each 5 document delivered to the Agent pursuant to the Limited Liability Company Interests Security Deed.
Delivery of further documents. Subject to the Borrower paying to the Security Trustee all expenses incurred by the Security Trustee in accordance with clause 11.11 (Transaction Costs) of the Facility Agreement, the Security Trustee shall promptly after execution of this Agreement and the Tripartite General Assignment, deliver to the Borrower an executed notice of reassignment of Insurances in the form set out in Schedule 4 (Form of Notice of reassignment).
Delivery of further documents. The Security Trustee shall promptly after execution and delivery of this Deed deliver to the Corporate Guarantor as pledgor each document delivered to the Security Trustee pursuant to each Shares Security Deed.
Delivery of further documents. Subject to the Borrower paying to the Lender all expenses incurred by the Lender in accordance with clause 14 (Costs and expenses) of the Facility Agreement, the Lender shall promptly after execution and delivery of this Deed:
(a) deliver to the Borrower:
(i) a copy of a Certificate of Ownership and Encumbrances evidencing that the that the Mortgage has been discharged; and
(ii) an executed notice of reassignment of Insurances in the form set out in Schedule 1 (Form of Notice of Reassignment);
(b) deliver to each Approved Manager an executed notice of reassignment of Insurances in the form set out in Schedule 1 (Form of Notice of Reassignment).
Delivery of further documents. The Security Trustee shall after execution and delivery of this Deed deliver to the Remaining Borrower:
(a) evidence that the Mortgage relating to the Ship has been discharged; and
(b) an executed notice of reassignment of Insurances relating to the Ship in the form set out in Schedule 1; and
(c) deliver any other such notices or documents as that Security Party may require to give effect to the release and reassignment of the Security Interests contained in Clause 2 (Release of Security Interests).
Delivery of further documents. Subject to the Borrowers paying to the Creditor Parties all expenses incurred by the Creditor Parties in accordance with clause 20 (fees and expenses) of the Loan Agreement, the Security Trustee shall promptly after execution and delivery of this Deed:
(a) deliver to the Borrowers:
(i) evidence that each Mortgage has been discharged; and
(ii) executed notices of reassignment of Insurances in the form set out in Part A of Schedule 2; and
(iii) executed notices of reassignment of the Master Agreement in the form set out in Part B of Schedule 2; and
(b) deliver to the Corporate Guarantor, the instrument of transfer, irrevocable proxy and power of attorney, letters of resignation, directors' letters of undertaking, written resolutions of the sole director and original share certificates delivered to the Security Trustee pursuant to each Shares Pledge.
Delivery of further documents. The Security Agent shall promptly after execution and delivery of this Deed deliver to the Guarantor as pledgor each document delivered to the Security Agent pursuant to each Membership Interest Pledge Agreement.
Delivery of further documents. The Facility Agent shall, acting on the instructions of the Lenders, following the Effective Date, deliver to the Released Shareholder each document that was required to be delivered to pursuant to the Released Shares Security and are currently held by the Facility Agent.
Delivery of further documents. The Lender shall promptly after execution and delivery of this Deed deliver to the Guarantor as pledgor each document delivered to the Lender pursuant to the Membership Interest Pledge Agreement.
Delivery of further documents. If the notification of satisfaction under Clause 4.1 (Notification of satisfaction) has been provided to the Obligor's Agent, the Obligor's Agent must deliver or procure the delivery of the documents listed in Part II of Schedule 2 as soon as practicable after the date of this Agreement and in any event before the Conditions Subsequent Date.
