Delivery of Offering Materials. The Company has delivered to the Underwriters a complete copy of the Registration Statement and of each opinion, consent and certificate of experts filed as part thereof, and conformed copies of the Registration Statement (without exhibits) and the Preliminary Prospectus and Prospectus, as amended or supplemented, and any Issuer Free Writing Prospectus reviewed and consented to by the Representative, in such quantities and at such places as each Underwriter has reasonably requested.
