Delivery of Materials to Underwriters. The Company has delivered to each Underwriter, without charge, as many copies of the Sale Preliminary Prospectus as such Underwriter reasonably requested, and the Company hereby consents to the use of such copies for purposes permitted by the Act. The Company will deliver to each of the several Underwriters, without charge and from time to time during the period when a prospectus is required to be delivered under the Act or the Exchange Act, such number of copies of each Sale Preliminary Prospectus, the Prospectus and all amendments and supplements to such documents as such Underwriters may reasonably request and has delivered and will deliver to the Representative two manually executed Registration Statements as originally filed, including exhibits, and amendments thereto and copies of all exhibits filed therewith or incorporated therein by reference and all manually executed consents of certified experts. The copies of the Registration Statement and each amendment thereto, and of the Sale Preliminary Prospectus and the Prospectus, as supplemented or amended, furnished to the Underwriters will be identical to the electronically transmitted copies thereof filed with the Commission pursuant to XXXXX, except to the extent permitted by Regulation S-T.

Delivery of Materials to Underwriters. The Company will deliver to or furnish to each of the Underwriters, or as directed by each such Underwriter, without charge and from time to time during the period when a prospectus is required to be delivered under the Act, the Exchange Act or Canadian Securities Laws, as applicable, such number of copies of each Statutory Prospectus or the Prospectus, or commercial copies of the Canadian Prospectus, and all amendments and supplements to such documents as such Underwriters may reasonably request. Contemporaneously with the execution and delivery of this Agreement, the Company shall will deliver to or furnish to each of the Underwriters a copy of the letter from the NEO advising the Company that conditional approval of the listing of the Public Securities has been granted by the NEO, subject to the satisfaction of the customary conditions set out therein. The deliveries set forth in this Section 3.4 shall also constitute the Company’s consent to the Underwriters’ use of the Canadian Prospectus for the distribution of the Public Securities in the Qualifying Jurisdictions in compliance with the provisions of this Agreement.
