Delivery of Offering Materials. You or a person acting on your behalf shall furnish to each offeree, concurrently with making an offer to such offeree (and its purchaser representative, if such a representative has been selected), a numbered copy of the Memorandum, as it may have been amended or supplemented by the Companies, and shall maintain adequate records of each person to whom a Memorandum has been delivered. Neither you nor any of your agents will give any information or make any representation with respect to the Companies or its business or affairs other than the information or representations contained in the Memorandum or any sales literature authorized for use in connection with the Offering, or such other information as is specifically authorized by the Companies.
