Delivery of Related Agreements. Parent has delivered to Purchasers complete and correct copies of each Related Agreement in effect on or prior to the date hereof and of all exhibits and schedules thereto. Subject to the qualifications set forth therein, each of the representations and warranties made by Parent or any of its Subsidiaries in each Related Agreement was and is true and correct in all material respects as of each date made in accordance with such Related Agreement.
