Delivery of Separation Agreements. If Executive's employment is terminated and Severance Payments are to be paid pursuant to Section 4, then in consideration for the Severance Payments to be made by Company to Executive pursuant to Section 4 of this Agreement, Executive agrees to execute and deliver to the Company within 21 days after Executive's employment termination date the following: (i) a non-competition agreement, in substantially the form attached hereto as Exhibit A (the "Non-Competition Agreement"), and (ii) a separation and release agreement, in substantially the form attached hereto as Exhibit B (together with the Non-Competition Agreement, the "Separation Agreements"). Notwithstanding anything to the contrary in the Agreement, Company shall have no obligation to make any Severance Payments to Executive until the date that is ten days following the date that Executive executes and delivers each of the Separation Agreements. The failure of Executive to execute and deliver each of the Separation Agreements within 21 days of Executive's employment termination date shall result in a permanent forfeiture of all Severance Payments due and payable pursuant to Section 4 of the Agreement, and permanently release Company from its obligation to make any and all Severance Payments to Executive thereunder.

  • Delivery of Agreements On the Effective Date, the Company shall have delivered to the Representative executed copies of the Transaction Documents.

  • Retention Agreements The parties agree and acknowledge that the obligations due to each of Xxxx Xxxxxx, Xxx Xxxx, Xxxx Xxxxx, Xxx Xxxxx and Xxxxxx X. Xxxxxxxxxx pursuant to the Retention Agreements shall not be due and payable until such amounts are due under such Retention Agreements and that, notwithstanding the foregoing, such amounts shall be deducted from the Aggregate Merger Consideration at the Closing as Company Transaction Expenses and paid by the Surviving Corporation when due under the Retention Agreements.   • Acquisition Agreements If the Equipment is subject to any Acquisition Agreement, Lessee, as part of this lease, transfers and assigns to Lessor all of its rights, but none of its obligations (except for Lessee's obligation to pay for the Equipment conditioned upon Lessee's acceptance in accordance with Paragraph 6), in and to the Acquisition Agreement, including but not limited to the right to take title to the Equipment. Lessee shall indemnify and hold Lessor harmless in accordance with Paragraph 19 from any liability resulting from any Acquisition Agreement as well as liabilities resulting from any Acquisition Agreement Lessor is required to enter into on behalf of Lessee or with Lessee for purposes of this lease.
