EXECUTION OF SETTLEMENT AGREEMENT. Execution of this Settlement Agreement shall be complete as of the last signature date of the Settling Parties. This Settlement Agreement can be executed in counterparts, each of which shall be deemed an original. Each Settling Party represents and warrants that the individual executing this Settlement Agreement on behalf of the Settling Party is duly authorized to sign for that Settling Party.

ZiLOG may not file the dismissal with the JAMS Arbitrator, San Xxxx locale until after it has executed this Settlement Agreement and delivered the Settlement Payment in accordance with paragraph 2 below.
