Delivery of Trust Documents. The Trust has furnished you with copies properly certified or authenticated of each of the following:
(a) Agreement and Declaration of Trust of the Trust.
(b) By-laws of the Trust as in effect on the date hereof.
(c) Resolutions of the Trustees of the Trust selecting you as administrator and approving the form of this Agreement. The Trust will furnish you from time to time with copies, properly certified or authenticated, of all amendments of or supplements to the foregoing, if any.
Delivery of Trust Documents. The trust documents creating the Xxxxxxxx Trust shall have been delivered to Perma-Fix evidencing, in form and content satisfactory to Perma-Fix that each of the Xxxxxxxx Trusts has the full, valid and legal capacity and authority to execute, deliver and perform all of its agreements, obligations, terms and conditions of this Agreement.
Delivery of Trust Documents. The Trust has furnished Distributor with copies, properly certified or authenticated, of each of the following:
(a) Agreement and Declaration of Trust as in effect on the date hereof ("Declaration of Trust").
(b) By-Laws of the Trust as in effect on the date hereof.
(c) Resolutions of the Board of Trustees of the Trust selecting Distributor as principal underwriter for the Funds and approving this form of agreement. The Trust shall furnish the Distributor from time to time with copies, properly certified or authenticated, of all the amendments of, or supplements to, the foregoing, if any. The Trust shall furnish Distributor promptly with properly certified or authenticated copies of any registration statements filed by it on behalf of the Funds with the Securities and Exchange Commission under the Securities Act of 1933, as amended ("SA-33") or ICA-40, together with any financial statements and exhibits included therein, and all amendments or supplements thereto hereafter filed.
Delivery of Trust Documents. The Trust has furnished you with copies properly certified or authenticated of each of the following:
(a) Declaration of Trust of the Trust dated May 25, 1983, as amended from time to time (the "Declaration of Trust").
(b) Establishment and Designation of Series of Shares of Beneficial Interest, without Par Value, establishing the Fund.
(c) By-Laws of the Trust as in effect on the date hereof.
(d) Resolutions of the Trustees selecting you as investment adviser and approving the form of this Agreement. The Trust will furnish you from time to time with copies, properly certified or authenticated, of all amendments of or supplements to the foregoing, if any.
Delivery of Trust Documents. The Trust has furnished the Adviser with copies properly certified or authenticated of each of the following:
(a) Declaration of Trust of the Trust.
(b) By-Laws of the Trust as in effect on the date hereof.
(c) Resolutions of the Board of Trustees of the Trust selecting the Adviser as investment adviser and approving the form of this Agreement. The Trust will furnish the Adviser from time to time with copies properly certified or authenticated, of any amendments of or supplements to the foregoing, if any.

(a) Declaration of Trust, dated June 8, as amended to date.
(b) By-Laws of the Trust as in effect on the date hereof.
(c) Resolutions of the Trustees selecting you as investment adviser and approving the form of this Agreement The Trust will furnish you from time to time with copies, properly certified or authenticated, of all amendments of or supplements to the foregoing, if any.
Delivery of Trust Documents. The Adviser has delivered to the Subadviser copies of each of the following documents and will deliver to it all future amendments and supplements, if any:
(a) Certified resolutions of the Trust’s Board of Trustees authorizing the appointment of the Subadviser and approving the form of this Agreement;
(b) Registration Statement under the 1940 Act and the Securities Act of 1933, as amended on Form N-1A (the “Registration Statement”), as filed with the Securities and Exchange Commission (the “Commission”) relating to each Portfolio and shares of the Portfolio’s beneficial shares, and all amendments thereto; and
(c) Prospectus(es) of each Portfolio.
Delivery of Trust Documents. The Trust has furnished you with copies properly certified or authenticated of each of the following:

The Trust shall make available promptly to the Distributor copies of any registration statements filed by it with the Securities and Exchange Commission (SEC) under the Securities Act of 1933, as amended (Securities Act), or the Investment Company Act of 1940, as amended (the "Investment Company Act"), together with any financial statements and exhibits included therein, and all amendments or supplements thereto.
Delivery of Trust Documents. The Trust has furnished Distributor with copies, properly certified or authenticated, of each of the following:
(a) the Trust's Declaration of Trust; and
(b) Resolutions of the trustees of the Trust selecting Distributor as principal underwriter and approving this form of agreement. The Trust shall furnish the Distributor from time to time with copies, properly certified or authenticated, of all the amendments of, or supplements to, the foregoing, if any. The Trust shall furnish Distributor promptly with properly certified or authenticated copies of any registration statements filed by it with the Securities and Exchange Commission ("SEC") under the Securities Act of 1933, as amended ("1933 Act") or 1940 Act, together with any financial statements and exhibits included therein, and all amendments or supplements thereto hereafter filed.
