Demand Letter. Upon a finding that Healogics has failed to comply with any of the obligations described in Section X.A and after determining that Stipulated Penalties are appropriate, OIG shall notify Healogics of: (a) Healogics’ failure to comply; and (b) OIG’s exercise of its contractual right to demand payment of the Stipulated Penalties.
