Department Determinations Clause Samples

The Department Determinations clause grants a specific department within an organization the authority to make binding decisions or judgments on certain matters outlined in the agreement. Typically, this clause specifies the scope of issues the department can decide on, such as compliance, eligibility, or technical requirements, and may outline the process for making and communicating these determinations. Department Determinations. The Department reserves the exclusive right to make certain determinations in the tasks and approaches used to perform tasks required by this contract. The absence of the Department setting forth a specific reservation of rights does not mean that all other areas of the contract are subject to mutual agreement.
Department Determinations. Any determination made by the Department pursuant to this Agreement or any other the Award Document shall be determined at the discretion of the Department, provided that the Department shall not unlawfully withhold or unreasonably delay a decision, nor act in an arbitrary or capricious manner, abuse of its discretion, or otherwise act not in accordance with the law (including, for the avoidance of doubt, determinations related to any Direct Funding Disbursement Approval Notice or regarding conditions precedent applicable to Disbursements hereunder).
Department Determinations. The Managing Entity agrees that services other than those set out in this contract, will be provided only upon receipt of a written authorization from the Contract Manager. The Department has final authority to make any and all determinations that affect the health, safety, and well-being of the people of the State of Florida.
Department Determinations. Subject to the provisions of Section 5.2., Dispute Resolution, the Department has the sole right to assess and determine the completeness and acceptability of services, reports and fiscal records according to the terms of this Contract.

Department Determinations. Where applicable, the Department will review audit reports submitted by contracted providers using the Checklist for Reviewing Single Audit Certified Public Accountant Reports.
Department Determinations. The Department will make all determinations of the right to compensation of any Utility Owner related to Utility Relocation Work, except with respect to Utility Relocation Work referred to in Section 5.2(a)(iii).
