Common use of Determination by Administrative Agent Clause in Contracts

Determination by Administrative Agent. If Administrative Agent determines that, for any Eurodollar Borrowing, the basis for determining the applicable rate is not available, then Administrative Agent shall promptly notify Borrower and Lenders of that determination (which is conclusive and binding on Borrower absent manifest error), and all Borrowings shall bear interest at the Base Rate plus the Applicable Margin. Until Administrative Agent notifies Borrower that such circumstances no longer exist, Lenders’ commitments under this Agreement to make, or to convert to, Eurodollar Borrowings shall be suspended.
