Determination of Inventorship. The determination of whether any Inventions are conceived, discovered, developed or otherwise made by a Party for the purpose of allocating proprietary rights (including Patent, copyright or other intellectual property rights) therein, shall, for purposes of this Agreement be construed under the laws of the Republic of Singapore, as such law exists as of the Effective Date irrespective of where or when such conception, discovery, development or making occurs.

If the Parties are unable to agree as to the inventorship of any Invention included in the Developed Technology, the Parties shall jointly retain independent patent counsel, reasonably acceptable to the Parties, to determine inventorship of such Invention.
