Developer Cooperation in Determining TIF Revenues. (a) So long as any TIF Obligations are outstanding, each Property Owner shall, or shall cause the Developer to, make a reasonable, good faith effort to include a provision in any new or amended Tenant lease that requires Tenants to (i) disclose to the Developer and the City sales tax returns for sales in the Redevelopment Area, and (ii) cooperate with the Developer and/or the City to correct any sales tax returns of the Tenant that were not properly coded for the Redevelopment Area. Each Property Owner may satisfy its obligations under this Section 2.2(a) by making, or causing the Developer to make, a written request to the Tenant (with copies of such request to the City) for inclusion in the lease of the following provision: “Tenant agrees, upon receipt of written request from Landlord, to use Tenant’s reasonable efforts to cooperate with the City of Brentwood and the Department of Revenue of the State of Missouri to correct any sales tax return filed by Tenant with said Department of Revenue that was not properly coded with Code # 08244 to designate that sales taxes reported on such return were collected based on sales made from your store.” (b) Each Property Owner shall provide, or cause the Developer to provide, written notice to all Tenants of any Property owned by such Property Owner as of the date of this Agreement, with a copy to the City, advising each Tenant (i) that it is in the Redevelopment Area, (ii) that it should use Xxxx # 00000 to designate sales taxes collected in the Redevelopment Area, and (iii) of this Section 2.2(b), that this Section 2.2(b) is a covenant running with the land, and that the Tenant has the duties and obligations set out in this Section 2.2(b). Each Property Owner may satisfy its obligations under this Section 2.2(b) by delivering to each current Tenant of any Property owned by such Property Owner, with a copy to the City, a written notice in the form attached hereto as Exhibit B within thirty (30) days after the date of this Agreement. (c) Other than taking the steps set forth in this Section, neither the Developer nor any Property Owner will have any duties, obligations or liability with respect to the determination and collection of sales tax revenues.

  • Search, Enquiry, Investigation, Examination And Verification a. The Property is sold on an “as is where is basis” subject to all the necessary inspection, search (including but not limited to the status of title), enquiry (including but not limited to the terms of consent to transfer and/or assignment and outstanding charges), investigation, examination and verification of which the Purchaser is already advised to conduct prior to the auction and which the Purchaser warrants to the Assignee has been conducted by the Purchaser’s independent legal advisors at the time of execution of the Memorandum. b. The Purchaser shall be deemed to have read, understood and accepted these Conditions of Sale prior to the auction and to have knowledge of all matters which would have been disclosed thereby and the Purchaser expressly warrants to the Assignee that the Purchaser has sought independent legal advice on all matters pertaining to this sale and has been advised by his/her/its independent legal advisor of the effect of all the Conditions of Sale. e. Neither the Assignee nor the Auctioneer shall be required or bound to inform the Purchaser of any such matters whether known to them or not and the Purchaser shall raise no enquiry, requisition or objection thereon or thereto.

  • Development Fee A fee for the packaging of a Property or Mortgage, including the negotiation and approval of plans, and any assistance in obtaining zoning and necessary variances and financing for a specific Property, either initially or at a later date.

  • Independent Analyses of each Holder Each Holder acknowledges that, except for the representations made in Section 7, it has, independently and without reliance upon any other Holders and based on such documents and information as such Holder has deemed appropriate, made its own credit analysis and decision to purchase its respective Note. Each Holder hereby acknowledges that the other Holders shall have no responsibility for (i) the collectability of the Mortgage Loan, (ii) the validity, enforceability or legal effect of any of the Mortgage Loan Documents or the title insurance policy or policies or any survey furnished or to be furnished in connection with the origination of the Mortgage Loan, (iii) the validity, sufficiency or effectiveness of the lien created or to be created by the Mortgage Loan Documents, or (iv) the financial condition of the Borrower. Each Holder assumes all risk of loss in connection with its respective Note for reasons other than gross negligence, willful misconduct or breach of this Agreement by any other Holder or gross negligence, willful misconduct or bad faith by any Servicer.

  • Tax Examinations Abroad 1. A Contracting Party may allow representatives of the competent authority of the other Contracting Party to enter the territory of the first-mentioned Party to interview individuals and examine records with the written consent of the persons concerned. The competent authority of the second-mentioned Party shall notify the competent authority of the first-mentioned Party of the time and place of the meeting with the individuals concerned. 2. At the request of the competent authority of one Contracting Party, the competent authority of the other Contracting Party may allow representatives of the competent authority of the first-mentioned Party to be present at the appropriate part of a tax examination in the second-mentioned Party. 3. If the request referred to in paragraph 2 is acceded to, the competent authority of the Contracting Party conducting the examination shall, as soon as possible, notify the competent authority of the other Party about the time and place of the examination, the authority or official designated to carry out the examination and the procedures and conditions required by the first-mentioned Party for the conduct of the examination. All decisions with respect to the conduct of the tax examination shall be made by the Party conducting the examination.

  • Office of Inspector General Investigative Findings Expert Review In accordance with Senate Bill 799, Acts 2021, 87th Leg., R.S., if Texas Government Code, Section 531.102(m-1)(2) is applicable to this Contract, Contractor affirms that it possesses the necessary occupational licenses and experience.

  • Periodic Review of Costs of Environmental Compliance In the ordinary course of its business, the Company conducts a periodic review of the effect of Environmental Laws on the business, operations and properties of the Company and its subsidiaries, in the course of which it identifies and evaluates associated costs and liabilities (including, without limitation, any capital or operating expenditures required for clean-up, closure of properties or compliance with Environmental Laws or any permit, license or approval, any related constraints on operating activities and any potential liabilities to third parties). On the basis of such review and the amount of its established reserves, the Company has reasonably concluded that such associated costs and liabilities would not, individually or in the aggregate, result in a Material Adverse Change.
