Developer Option Purchase Price and Payment. In the event that the Developer Option is exercised by Developer as aforesaid, then the purchase price for the Residual City Parcel shall be the aggregate of (A) the total purchase price and related costs and expenses actually paid by City to acquire the Residual City Parcel in accordance with the provisions of Section 2.1(a)(iii) above, together with interest thereon from the date of the Xxxxxx/Xxxx Parcels Closing to and until the Developer Option Closing Date (as hereinafter defined) at a rate of interest equal to five percent (5%) per annum, plus (B) the amount of any and all reasonable, out-of-pocket expenses actually incurred by City during the period of City’s ownership thereof (including, without limitation, real estate taxes and assessments, insurance, maintenance and/or utility expenses), less (C) the amount of any rents or revenues actually received by City during the period of City’s ownership of the Residual City Property, and less (D) the amount of any Developer Option Payments actually paid by Developer to City as aforesaid (collectively, the “Developer Option Purchase Price”, which shall be evidenced by appropriate documentation from City as reasonably requested by Developer). The Developer Option Purchase Price shall be paid by Developer to City in cash at the Developer Option Closing (as hereinafter defined).

  • PURCHASE PRICE AND PAYMENT The total Purchase Price for the Property is the amount of the successful bid for the Cabin/Home Site at public auction plus the Maximum Value of the Personal Property.

  • Price and Payment 4.1 Unless otherwise specified in the Purchase Order, the price for the Work includes all taxes and other charges such as shipping and delivery charges, duties, customs, tariffs, imposts and government-imposed surcharges.
