Common use of Developer Clause in Contracts

Developer. Developer represents and warrants to City that: (a) Developer is an Indiana limited liability company, duly existing and validly formed under the laws of the State of Indiana; (b) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (c) Developer has the authority: (i) to enter into this Agreement; and (ii) to perform its obligations hereunder, (d) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; and (ii) to perform its obligations hereunder; and (e) this Agreement is the legal, valid, and binding obligation of Developer.

Developer. Developer represents and warrants to each City Body that: (ai) Developer is an Indiana limited liability company, corporation duly existing and validly formed under the laws of the State of Indiana; (bii) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (ciii) Developer has the authority: (iA) to enter into this Agreement; and (iiB) to perform its obligations hereunder, (d) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; and (ii) to perform its obligations hereunder; and (e) this Agreement is the legal, valid, and binding obligation of Developer.,

Developer. Developer represents and warrants to the City that: (a) Developer is an Indiana limited liability company, a corporation duly existing and validly formed under the laws of the State of Indiana; (b) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (c) Developer has the authority: (i) to enter into this Agreement; and (ii) to perform its obligations hereunder, (d) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; and (ii) to perform its obligations hereunder; and (e) this Agreement is the legal, valid, and binding obligation of Developer.

Developer. Developer represents and warrants to Building Corp. and the City that: (a) Developer is an Indiana a limited liability company, corporation duly existing and validly formed under registered with the laws Indiana Secretary of the State of IndianaState’s Office; (b) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (c) Developer has the authority: (i) to enter into this Agreement; and (ii) to perform its obligations hereunder, (d) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; and (ii) to perform its obligations hereunder; and (e) this Agreement is the legal, valid, and binding obligation of Developer.

Developer. Developer represents and warrants to City Fishers that: (aA) Developer is a an Indiana limited liability company, duly existing and validly formed under the laws of the State of Indiana; (bB) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (cC) Developer has the authority: (i) to enter into this Agreement; , and (ii) to perform its obligations hereunder, (dD) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; , and (ii) to perform its obligations hereunder; and (eE) this Agreement is the legal, valid, valid and binding obligation of Developer.

Developer. Developer represents and warrants to the City that: (a) Developer is an Indiana limited liability company, company duly existing registered with the Indiana Secretary of State’s Office and validly formed under the laws of properly authorized to do business in the State of Indiana; (b) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (c) Developer has the authority: (i) to enter into this Agreement; and (ii) to perform its obligations hereunder, (d) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; and (ii) to perform its obligations hereunder; and (e) this Agreement is the legal, valid, and binding obligation of Developer.
