Development Of Outparcels Other Than The North Beach Property. Borrower shall have the right to develop one or more of the Outparcels (subject to the terms of Section 2.3.4(d) below) following release of such Outparcels (provided such release is subject to compliance with the terms of Section 2.3.4(a) and (b) above) without obtaining Lender's prior consent to such development provided such development will not impair or otherwise adversely affect the Liens, security interests and other rights of Lender under the Loan Documents.

  • Title to Properties The Company and each Subsidiary have good record and marketable title in fee simple to, or valid leasehold interests in, all real property necessary or used in the ordinary conduct of their respective businesses, except for such defects in title as could not, individually or in the aggregate, have a Material Adverse Effect.
