DEVELOPMENT OUTSIDE UNITED STATES. No later than COMPANY's filing of an NDA for a Licensed Product in the United States, COMPANY shall directly, or through or in collaboration with Affiliates and sublicensees, commence its best efforts: (a) to obtain Registration for a Licensed Product in such other countries of the Licensed Territory as COMPANY or COMPANY's Affiliates and sublicensees deem appropriate; and (b) upon Registration of a Licensed Product in a particular country proceed with due diligence to market such Licensed Product in such country.
