Digital Marketing Services. As further described in this Section 6, Station, directly or through its affiliate, G/O Digital Marketing, LLC (“G/O Digital”), may provide certain digital marketing services (“DM Services”) to Advertiser from time to time. Such DM Services will be described in an Order entered into by the parties pursuant to this Agreement. To the extent DM Services are sold by Station hereunder but fulfilled by G/O Digital, Station will be responsible for ensuring G/O Digital’s performance of the DM Services and Advertiser will look solely to Station, and not to G/O Digital, for any claims arising out of the performance of such DM Services.

Digital Marketing Services. As further described in this Section 6, Station, directly or through its affiliate, G/O Digital Marketing, LLC d/b/a TEGNA Marketing Solutions (“TMS”), may provide certain digital marketing services, such as, but not limited to, paid search, email marketing, etc. (“Digital Marketing Services”) to Advertiser from time to time. Such Digital Marketing Services will be described in a Confirmation. To the extent Digital Marketing Services are sold by Station hereunder but fulfilled by TMS, Station will be responsible for ensuring TMS’s performance of the Digital Marketing Services and Advertiser will look solely to Station, and not to TMS, for any claims arising out of the performance of such Digital Marketing Services.
Digital Marketing Services. 8.1. For all digital marketing services including, but not limited to, content writing, copywriting, optimisation, marketing strategy, analytics, SEO/SEM, PPC, marketing consultation, brand development, business development, lead generation, public relations, etc – an estimate, quote or SOW is calculated on a project or monthly basis and then submitted to the Client. 8.2. If changes are needed to a project after the outstanding invoice has been paid then the extra charges will be confirmed with the Client, and the Client will be further invoiced for the work carried out. 8.3. If changes are needed in an ongoing monthly service, the extra charges will be confirmed with the Client, and the Client will be invoiced for these changes in subsequent invoices, payable in advance of the period.
Digital Marketing Services. 1. The Company shall provide consultations in favor of the Client in the development and execution of the Client’s Services translating to work fulfillment 2. The Company shall perform all of the Digital Marketing Services assigned to it in a timely and professional manner, herein after “response time” 3. The Company, in consultation with the Client, will determine the methods, details and means of performing the work to be carried out for the Client. In addition, the Client shall be entitled to exercise a broad general power of supervision and control over the results of work performed by the Company to ensure satisfactory performance through the intervention of a pre- assigned Account Manager. This power of supervision shall include the right to inspect, stop work, make suggestions or recommendations as to the details of work, and request modifications to the scope of the work.
Digital Marketing Services. 9.1. The Supplier will provide the Digital Marketing Services detailed in the Order. 9.2. Where the Supplier recommends that the Client takes implementation actions (physical or technical) in order to facilitate the Services detailed in this condition 9, then the Client agrees to implement such recommendations within 48 hours. Where the Client fails to do so it acknowledges that the Supplier will not be liable for failing to perform such services.
Digital Marketing Services. 2.1 The Company will, for the duration of the Term, provide the Customer with Digital Marketing Services. 2.2 The Estimated Start Date for the Company to provide the Services to the Customer may be delayed by up to 10 business days if the Company requires further information from Customer and has requested that information in writing. The Company will provide the Customer with details of the actual start date as soon as practicable.

  • Beta Services From time to time, We may invite You to try Beta Services at no charge. You may accept or decline any such trial in Your sole discretion. Beta Services will be clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation or by a description of similar import. Beta Services are for evaluation purposes and not for production use, are not considered “Services” under this Agreement, are not supported, and may be subject to additional terms. Unless otherwise stated, any Beta Services trial period will expire upon the earlier of one year from the trial start date or the date that a version of the Beta Services becomes generally available. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs. Likewise if such Hosting contributes to or directly causes a Security Incident, Supplier shall be responsible for the obligations set forth in Appendix 1, as applicable. 14 Change Management

  • Telemedicine Services This plan covers clinically appropriate telemedicine services when the service is provided via remote access through an on-line service or other interactive audio and video telecommunications system in accordance with R.I. General Law § 27-81-1. Clinically appropriate telemedicine services may be obtained from a network or non- network provider, and from our designated telemedicine service provider. When you seek telemedicine services from our designated telemedicine service provider, the amount you pay is listed in the Summary of Medical Benefits. When you receive a covered healthcare service from a network or non-network provider via remote access, the amount you pay depends on the covered healthcare service you receive, as indicated in the Summary of Medical Benefits.   • Pharmacy Services The Contractor shall establish a network of pharmacies. The Contractor or its PBM must provide at least two (2) pharmacy providers within thirty (30) miles or thirty (30) minutes from a member’s residence in each county, as well as at least two (2) durable medical equipment providers in each county or contiguous county.

  • Cloud Services You will not intentionally (a) interfere with other customers’ access to, or use of, the Cloud Service, or with its security; (b) facilitate the attack or disruption of the Cloud Service, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); (c) cause an unusual spike or increase in Your use of the Cloud Service that negatively impacts the Cloud Service’s operation; or (d) submit any information that is not contemplated in the applicable Documentation.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Program Services a) Personalized Care Practice agrees to provide to Program Member certain enhancements and amenities to professional medical services to be rendered by Personalized Care Practice to Program Member, as further described in Schedule 1 to these Terms. Upon prior written notice to Program Member, Personalized Care Practice may add or modify the Program Services set forth in Schedule 1, as reasonably necessary, and subject to such additional fees and/or terms and conditions as may be reasonably necessary. b) Program Member acknowledges that the Program Services are services that are not covered services under any insurance contract to which Program Member may be a party, including, without limitation, Medicare, and are not reimbursable by Program Member’s insurer, health plan or any governmental entity, including Medicare. Program Member agrees to bear sole financial responsibility for the Member Amenities Fee and agrees not to submit to Program Member’s insurer, health plan or governmental entity any xxxx, invoice or claim for payment or reimbursement of such Member Amenities Fee. c) Personalized Care Practice or its designated affiliate will separately charge Program Member or Program Member’s insurer, health plan or governmental entity for medical, clinical, diagnostic or therapeutic services rendered by Personalized Care Practice or its designated affiliate to Program Member, and Program Member may seek payment or reimbursement from Program Member’s insurer or health plan for any such service to the extent covered by Program Member’s insurer, health plan or governmental entity. d) Program Member understands, agrees and covenants that this Agreement is a service contract, and not a contract for insurance.

  • Internet Services Transfer Agent shall make available to Fund and Shareholders, through its web sites, including but not limited to xxx.xxxxxxxxxxxxx.xxx (collectively, “Web Site”), online access to certain Account and Shareholder information and certain transaction capabilities (“Internet Services”), subject to Transfer Agent’s security procedures and the terms and conditions set forth herein and on the Web Site. Transfer Agent provides Internet Services “as is,” on an “as available” basis, and hereby specifically disclaims any and all representations or warranties, express or implied, regarding such Internet Services, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Transfer Agent shall at all times use reasonable care in performing Internet Services under this Agreement.
