Direct Liability; Separate Borrowing Availability Clause Samples
The 'Direct Liability; Separate Borrowing Availability' clause establishes that each party or borrower is independently responsible for their own obligations under the agreement and that each has access to borrowing facilities without being affected by the actions or status of other parties. In practice, this means that if multiple borrowers are involved, one borrower's default or financial issues do not automatically impact the borrowing rights or liabilities of the others. This clause is essential for ensuring that risk and responsibility are clearly allocated among parties, preventing cross-liability and allowing each party to manage their own borrowing independently.
Direct Liability; Separate Borrowing Availability. Nothing contained in this Section 2.15 shall limit the liability of any Borrower to pay Loans made directly or indirectly to that Borrower (including Loans advanced to any other Borrower and then re-loaned or otherwise transferred to, or for the benefit of, such Borrower), Letter of Credit Obligations relating to Letters of Credit issued to support such Borrower’s business, and all accrued interest, fees, expenses and other related Obligations with respect thereto, for which such Borrower shall be primarily liable for all purposes hereunder. The Administrative Agent and Lenders shall have the right, at any time in their discretion, to condition Revolving Credit Loans and Letters of Credit upon a separate calculation of borrowing availability consistent with the Borrowing Base for each Borrower and to restrict the disbursement and use of such Revolving Credit Loans and Letters of Credit to such Borrower.
