Common use of Director’s Certificate Clause in Contracts

Director’s Certificate. The Company shall have received a certificate signed by a designated director of each of Parent and Merger Sub certifying as to the matters set forth in Section 7.3(a) and Section 7.3(b).

Director’s Certificate. The Company Parent shall have received a certificate signed by a designated director of each of Parent and Merger Sub the Company certifying as to the matters set forth in Section 7.3(a7.2(a), Section 7.2(b) and Section 7.3(b7.2(c).
