Disassociation Upon Termination of Insurance Coverage. As of the date on which a Member ceases to be covered under policies of insurance issued by the Company (the “Termination Date”), the Member shall cease to be a Member of the Company, the Shares held by the Member shall be cancelled and the Member shall have no further rights or obligations as a Member of the Company, regardless of whether or not the Member has received the distribution, if any, to which it is entitled pursuant to paragraph (c) of this Section 3.8. Notwithstanding the foregoing, a Member shall continue to be liable for unpaid premiums and any other obligations owed to the Company.
