Common use of Disaster Relief Clause in Contracts

Disaster Relief. If Specimen/s and/or expanded MSC’s are required for any stem cell transplantation/s or any clinical trial/s approved by national or international regulatory health bodies as applicable, and is rendered unfit and/or insufficient, for any unforeseen reason, that is beyond the reasonable control of the Service Provider, and which may potentially deteriorate or cause loss, harm and damage, entirely or partly, of the Umbilical Cord Blood and/or Specimen/s and/or expanded MSC’s, during transit, processing and/or storage, and if LifeCell is unable to source matching Umbilical Cord Blood Specimen/s and/or expanded MSC’s from any public stem cell bank worldwide and/or from the LifeCell Registry (applicable only to Community Banking Clients) within 14 (fourteen) days from the date of the request by the Client for Specimen/s and/or expanded MSC’s for stem cells transplantation then LifeCell shall pay within 14 (fourteen) days ₹2,000,000 (INR Two Million only) to the Client.
