Common use of Discretionary Incentive Bonus Clause in Contracts

Discretionary Incentive Bonus. In the discretion of the Board of Directors of the Company, and without implying any obligation on the Company ever to award a bonus to the Executive, the Executive may from time to time be awarded an annual cash bonus during the term of his employment under this Agreement. If the Company has an executive bonus plan in effect (as any such plan may be amended from time to time), the annual bonus to the Executive referenced in the preceding sentence shall be in general accordance with such plan and with the Executive's status and position with the Company; provided, however, all such bonuses are entirely discretionary with the Board of Directors. If and to the extent a bonus is ever considered for the Executive, it is expected that any such bonus will be based not only on the Executive's individual performance and his relative position, service tenure and responsibilities with the Company, but also on the performance and profitability of the entire business of the Company.
