Disposal of Charged Assets. sell, lend, transfer or otherwise dispose of the whole or any part of the Chargor's undertaking, properties, goodwill, rights or assets or revenues to any party other than an Obligor or a wholly-owned subsidiary of any Obligor, except for good consideration and at arm's length transaction in the ordinary course of its business either by a single transaction or by a number of transactions.
